Affiliate Agreement

This agreement is between you and Hearth Systems Ltd (company no. 17349265, registered in England and Wales, registered office 20 Turner Road, Dartford, DA2 8BA, United Kingdom), which trades as ParcelProof. It applies from the moment your application is approved.

Written in plain English on purpose. Where a figure appears below it is the figure the system actually uses, not an approximation.

1. What you are agreeing to do

You may promote ParcelProof to your own audience using the referral link we give you. You may write about it, review it, recommend it, and describe how it works.

You are an independent party. This agreement does not make you an employee, agent or partner of Hearth Systems Ltd in the legal sense, and it does not let you enter into commitments on our behalf.

2. How a referral is credited to you

There are two ways. When someone follows your link we store a first-party cookie in their browser recording your referral code, and if that person creates a business account it is credited to you.

They can also type your code, when they sign up or on their billing page before their first payment. This matters more than it sounds: cookies do not survive a different device, private browsing, or a cleared browser, and without a typed code those referrals were simply lost.

First touch wins. If someone arrives through your link and later through another partner’s, the referral stays with you. The reverse is also true: if they came through another partner first, your link does not displace them.

The attribution window is 30 days for affiliates and creators, and 60 days for agency, technology and logistics partners. If the account is created after the window closes, no commission is due.

Either way, the window closes at the customer’s first payment. After that an account cannot be credited to a partner. That rule exists so nobody can hand their code to a business that is already paying and claim commission on a customer they did not introduce.

3. What you earn

Commission is a percentage of what a referred customer actually pays us, excluding VAT, for the first 12 months of their subscription. The rate depends on your partner type:

  • Affiliate and creator: 20%
  • Consultant, technology partner and logistics partner: 25%
  • Agency: 30%

The rate that applies is the one recorded when the customer was referred. If we change our published rates later, your existing customers stay on the rate they were referred under, in either direction.

Commission is calculated on money received. If a customer pays part of an invoice, you earn on the part they paid.

Your code gives the customer 20% off your first month. That is the offer you can make when you promote us, and it is applied automatically at checkout for anyone credited to you.

Because commission is a share of what the customer actually pays, your commission in that first month is calculated on the discounted amount rather than the list price. On a £9 plan that is 20% off for them and a little less for you in month one, and the full rate every month after. It is stated here so it is not a surprise on your first statement.

4. When you get paid

Commission is held for 30 days after it is earned. That period exists so refunds and chargebacks can settle before money moves.

Once past the hold, commission becomes payable. Payouts are raised when your payable balance reaches £20, or £10 where you are a ParcelProof customer referring another seller. Below that it stays on your account and rolls into the next payout rather than being lost.

Payouts are made in GBP by bank transfer, and you are responsible for your own tax. If you are VAT registered you should invoice us and we will pay VAT in addition.

5. When commission is reduced or removed

Commission does not become yours to keep in three cases.

Refunds. If a customer is refunded, the commission on that payment is reversed. A partial refund reduces the commission proportionally, so it follows the money we actually kept.

Your own accounts. Signing up through your own link is recorded but earns nothing. This includes accounts belonging to you, your business, or anyone acting on your behalf.

Chargebacks and fraud. Commission on a payment that is charged back, or on an account we determine was created fraudulently, is reversed.

Where commission has already been paid out before one of these comes to light, we will contact you to agree how it is handled rather than deducting it without notice.

6. What you must not do

These are the terms most likely to end an account, so they are stated plainly.

  • Do not bid on our brand name, or close variants of it, in paid search.
  • Do not claim to be ParcelProof, or imply you are writing on our behalf.
  • Do not use spam, unsolicited bulk email, or automated posting to distribute your link.
  • Do not offer cashback or incentives for signing up through your link without our written agreement.
  • Do not create accounts yourself, or arrange for others to create them, to generate commission.
  • Do not use cookie stuffing, forced clicks, or any method that sets the referral cookie without a genuine click.

Claims about the product. ParcelProof creates a stronger evidence record. It does not stop fraud, guarantee a refund, guarantee the outcome of a marketplace dispute or an insurance claim, and it does not decide liability. Do not say otherwise. This is the one rule we will enforce without warning, because a partner overselling what the product does creates a problem for the customer who believed them.

7. Suspension and ending this agreement

Either of us may end this agreement at any time, for any reason, by telling the other. You can stop promoting whenever you like.

We may suspend an account while we look into something. During a suspension new referrals are not credited. Commission already earned and not affected by section 5 remains payable.

If we end the agreement because of a breach of section 6, unpaid commission connected to that breach is forfeited. Commission unconnected to it is not.

8. Data

You will see how many people clicked your link, how many signed up, and what you have earned. You will not see who they are. Which businesses signed up through your link is their information, not yours, and we do not share it.

We hold your name, email, and the details in your application, to run the programme and to pay you. Our privacy policy explains the rest.

9. Changes

We may change these terms. If a change materially affects what you earn, we will tell you by email before it applies to you, and it will not apply retrospectively to commission already earned.

Each version is dated. You accepted version 2026-08-14.3 if that is the version shown when you applied.

10. Law

This agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

Nothing here limits liability for death or personal injury caused by negligence, or for fraud.
